These Terms & Conditions ("Terms") govern your access to and use of the GIMA Properties website, GIMA Connect platform, portals, property listings, forms, services and related digital services operated by GIMA Properties ("GIMA Properties", "GIMA", "we", "us" or "our").
By accessing, browsing, registering on, submitting information through, purchasing, booking, engaging, or otherwise using any part of our website, platform or services, you acknowledge that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy and any additional terms applicable to a particular service, property, transaction or agreement.
If you do not agree with these Terms, you should not use the relevant service or platform.
1. ABOUT GIMA PROPERTIES
GIMA Properties is a real estate services and property marketing business operating in Nigeria.
Our services may include, depending on the circumstances and the particular engagement:
- Property sales;
- Property letting and rentals;
- Property sourcing;
- Property marketing and advertising;
- Property listing and promotion;
- Property management;
- Short-let and serviced-apartment management;
- Short-let booking and guest-management services;
- Inspection and viewing coordination;
- Property-owner onboarding;
- Developer sales and marketing;
- Real estate agency and brokerage services;
- Partner-agency collaboration;
- Lead and opportunity management;
- Transaction coordination;
- Property advisory and consultancy;
- Real estate investment and property-related advisory services;
- Market and property research;
- Asset and property-related support services; and
Digital real estate services provided through GIMA Connect.
The specific services provided to a client will depend on the applicable engagement, agreement, property, location and circumstances.
Not every service is available to every user, property or location.
2. GIMA CONNECT
GIMA Connect is GIMA Properties' digital platform through which different categories of users may access services and manage activities relating to real estate.
Depending on eligibility and authorization, GIMA Connect may provide different experiences for:
- Property Owners;
- Partner Agencies;
- Developers;
- GIMA Agents;
- Customers;
- GIMA administrative personnel; and
other authorized users.
Access to a particular portal does not automatically confer ownership, agency authority, mandate, employment, partnership, approval or any other legal relationship.
Your access and permissions are determined by your role, authorization, applicable agreements and GIMA's approval processes.
3. ACCEPTANCE OF THESE TERMS
By using the website or platform, you represent that:
- the information you provide is accurate and not misleading;
- you have the legal capacity to enter into applicable agreements;
- you will comply with applicable Nigerian laws and regulations;
- you will not use the platform for fraudulent, unlawful or unauthorized purposes;
- you will not impersonate another person or organization; and
- you will not attempt to access information, accounts or functions for which you are not authorized.
If you are using GIMA Connect on behalf of a company, agency, developer, owner or other organization, you represent that you have authority to act for that organization to the extent of the actions you undertake.
4. GIMA PROPERTY SERVICES
GIMA may provide different categories of property services, including sales, rentals, property management, short-let services and property advisory.
The terms, scope, fees, responsibilities and limitations applicable to each service may differ.
Where a particular service is provided under a separate written agreement, that agreement will govern the specific engagement together with these Terms.
5. PROPERTY SALES AND RENTALS
GIMA may act as a real estate agent, marketing representative, intermediary or other authorized service provider in connection with the sale or rental of properties.
The availability of a property on our website or platform does not guarantee that:
- the property remains available;
- the stated price remains applicable;
- the property remains under the same mandate;
- the property has not been sold or let;
- the property has not been withdrawn; or
the transaction can be completed.
Prices, availability and property terms may change without notice.
A property listing is not, by itself, an offer capable of creating a binding contract for sale, lease or other disposition of property.
A legally binding transaction is subject to the applicable negotiations, approvals, payment requirements and execution of the relevant transaction documents.
6. PROPERTY MANAGEMENT SERVICES
GIMA Properties may provide property management services to property owners and other authorized clients.
Depending on the applicable management agreement, property management services may include:
- property supervision;
- tenant or occupant coordination;
- rent and occupancy administration;
- maintenance coordination;
- vendor coordination;
- inspections;
- property reporting;
- marketing and letting;
- short-let management;
- guest management;
- housekeeping coordination;
- utility coordination;
- property-related administrative services; and
other services expressly agreed between GIMA and the client.
The exact scope of a property management engagement will be determined by the applicable management agreement.
GIMA will not be responsible for services or expenses outside the agreed scope unless separately authorized.
Where GIMA is required to engage contractors, technicians, cleaners, security providers, maintenance personnel or other third parties, such services may be subject to additional charges and applicable third-party terms.
Property owners remain responsible for obligations that legally or contractually remain theirs, including structural, statutory, ownership and other responsibilities unless the applicable management agreement expressly provides otherwise.
7. SHORT-LET SERVICES
GIMA may provide short-let and serviced-accommodation services, including:
- short-let property marketing;
- listing management;
- booking coordination;
- guest communication;
- check-in and check-out coordination;
- housekeeping coordination;
- maintenance coordination;
- guest support;
- occupancy management;
- pricing and availability administration; and
other short-let management services agreed with the property owner.
Short-let services may be provided directly by GIMA or through approved property owners, managers, vendors, platforms or other service providers.
Availability, pricing, minimum stay, deposits, cancellation rules, check-in requirements, house rules and other booking conditions may vary by property.
The terms displayed or communicated for a specific booking form part of the applicable booking arrangement.
Guests must comply with applicable:
- house rules;
- occupancy limits;
- check-in and check-out requirements;
- noise restrictions;
- security requirements;
- building or estate rules; and
applicable laws.
GIMA may refuse or terminate a booking where there is a material breach of applicable booking conditions, subject to applicable law and the specific booking terms.
8. SHORT-LET BOOKINGS, CANCELLATIONS AND REFUNDS
Short-let bookings are subject to the cancellation, refund, security-deposit and payment conditions applicable to the specific property.
These conditions will be communicated before or at the time of booking where applicable.
Where a booking cannot be fulfilled due to circumstances attributable to GIMA or the relevant service provider, any applicable refund or alternative arrangement will be handled in accordance with the booking terms and applicable law.
Nothing in these Terms is intended to exclude a consumer's statutory rights concerning refunds, cancellations or unfulfilled bookings.
9. PROPERTY ADVISORY AND CONSULTANCY
GIMA may provide property advisory and consultancy services, which may include:
- property sourcing advice;
- market information;
- property selection;
- rental and sales strategy;
- investment-related property analysis;
- property marketing strategy;
- development sales strategy;
- property management advice;
- short-let strategy;
- market research;
- property-related business planning; and
other property-related advisory services.
Unless expressly stated otherwise, GIMA's advisory services are general property-related advice based on information available to us at the time.
Advisory services do not constitute legal, tax, accounting, financial, surveying, valuation, structural engineering or other regulated professional advice unless expressly provided by an appropriately qualified professional acting within their professional capacity.
Clients should obtain independent professional advice where appropriate before making significant financial or legal decisions.
11. PROPERTY VERIFICATION
GIMA may undertake verification or due diligence in relation to properties, owners, developers, agencies or other participants.
However, the existence of a listing, verification status or publication on the platform should not automatically be interpreted as a guarantee of:
- perfect title;
- absence of encumbrances;
- absence of disputes;
- planning approval;
- building approval;
- structural integrity;
- authenticity of every document;
- future appreciation;
- investment return; or
completion of a development.
Where appropriate, users should obtain independent legal, surveying, valuation, structural, financial or other professional advice before entering into a transaction.
12. PROPERTY OWNERSHIP
GIMA Connect distinguishes property ownership from authority to market, list, sell, let or otherwise act in relation to a property.
A person may be authorized by a legal owner to act within a defined scope without being the legal owner.
Submitting a property, listing a property, marketing a property, introducing a buyer or tenant, or participating in a transaction does not by itself establish ownership.
Nothing on the website or platform should be interpreted as a transfer or confirmation of legal title.
13. PROPERTY OWNER ONBOARDING
Property-owner onboarding may involve a manual review process.
Submitting a property-owner application or online form does not automatically make the applicant an approved GIMA Property Owner.
GIMA may:
- contact the applicant;
- request supporting information;
- verify ownership;
- verify authority;
- conduct due diligence;
- request additional documents;
- approve or decline onboarding; or
determine an appropriate alternative relationship.
Where an applicant is not the legal owner but has authority to market or transact in relation to a property, GIMA may direct that person to an appropriate Partner Agency or other applicable pathway.
GIMA retains discretion to determine the appropriate onboarding route, subject to applicable law and contractual obligations.
14. PARTNER AGENCIES
Partner Agencies operate as independent businesses unless expressly agreed otherwise in writing.
Partner Agency status does not make the agency:
- an employee of GIMA;
- a legal partner of GIMA;
- a joint venture partner;
- an owner of GIMA property; or
an authorized representative beyond the scope expressly granted.
Partner Agencies may only access and perform activities authorized for their account and organization.
A Partner Agency must not represent itself as GIMA or imply that it has authority beyond what GIMA has expressly granted.
15. DUPLICATE PROPERTY SUBMISSIONS
GIMA may maintain a single authoritative property record while receiving listing or marketing submissions from different authorized participants.
Where multiple users, agents or agencies submit information relating to the same property, GIMA may identify the submissions as potential duplicates and conduct an internal review.
A duplicate submission does not automatically create a separate property record or establish ownership, exclusivity or priority.
GIMA may determine the appropriate listing, mandate, agency relationship or marketing arrangement based on the available evidence, applicable agreements and internal review procedures.
Nothing in this provision overrides a valid contractual or legal right.
16. DEVELOPERS
Developers may use GIMA services for the marketing and sale of development projects.
Project information may include proposed or planned:
- units;
- prices;
- specifications;
- amenities;
- timelines;
- development phases;
- payment structures; and
other project information.
Unless expressly stated otherwise in a binding agreement, project information displayed online is subject to change.
GIMA does not guarantee that a development will:
- be completed by a particular date;
- achieve a particular value;
- generate a particular return;
- sell a particular number of units; or
retain any particular specification.
17. GIMA AGENTS
GIMA Agents may receive assignments, leads, opportunities, inspections or other work through GIMA's operational systems.
An Agent's access is subject to applicable authorization and platform rules.
An Agent must:
- provide accurate information;
- act professionally;
- protect confidential information;
- comply with GIMA policies;
- avoid unauthorized representations;
- avoid misrepresenting property ownership or authority; and
comply with applicable laws and professional obligations.
An Agent must not independently alter, manipulate or misrepresent GIMA's official property, customer, transaction or commission records.
18. ADMINISTRATION AND PLATFORM CONTROL
GIMA administrative personnel may perform operational functions including:
- reviewing submissions;
- verifying information;
- assigning work;
- coordinating inspections;
- reviewing listings;
- managing operational workflows;
- communicating with users;
- monitoring platform activity; and
managing authorized records.
Super-administrative or platform-level functions may be subject to additional controls and permissions.
Users must not attempt to bypass, manipulate or circumvent platform permissions.
19. CUSTOMER USE
Customers may use GIMA's services to:
- search for properties;
- request property information;
- request inspections;
- submit property requirements;
- communicate with GIMA;
- participate in negotiations;
- enter into transactions; and
use other available services.
Submitting an enquiry or property request does not guarantee that GIMA will locate or provide a property meeting every requested criterion.
20. PROPERTY REQUESTS
When you submit a property request, you authorize GIMA to use the information you provide for the purpose of evaluating your requirements and contacting you regarding potentially suitable properties or services.
A property request does not constitute:
- a purchase order;
- a binding reservation;
- a tenancy agreement;
- an offer to purchase; or
an obligation on GIMA to locate a property.
21. INSPECTIONS AND VIEWINGS
Inspection or viewing requests are subject to availability and confirmation.
Submitting a request does not necessarily mean that an inspection has been confirmed.
GIMA may contact you to confirm:
- date;
- time;
- property;
- location;
- access arrangements;
- applicable charges; and
other relevant details.
Users attending inspections must comply with reasonable safety, access and property rules.
22. OFFERS AND NEGOTIATIONS
Any offer, counteroffer or negotiation is subject to the relevant parties' agreement and applicable transaction procedures.
An enquiry, expression of interest or communication through the platform does not necessarily constitute a legally binding offer.
No transaction should be considered concluded merely because:
- an offer has been submitted;
- an offer has been communicated;
- a property has been marked as reserved;
- a user has received a notification; or
a user has made payment,
unless the applicable contractual requirements have been satisfied.
23. TRANSACTIONS
Property transactions may require separate legal and commercial documentation.
Depending on the transaction, this may include:
- offer documentation;
- agency agreements;
- contracts of sale;
- leases;
- tenancy documentation;
- payment schedules;
- development agreements;
- assignment documents;
- title documentation; and
other legally relevant documents.
Where a separate agreement governs a transaction, that agreement will apply to the extent of any conflict with these general Terms.
24. FEES, COMMISSIONS AND CHARGES
Applicable fees, commissions, management charges, advisory fees, short-let management fees, service charges or other charges will depend on the relevant service and applicable agreement.
A fee or commission should not be assumed merely because a property appears on the website.
Where a fee or commission is applicable, the relevant amount, basis and payment terms should be communicated through the applicable agreement, quotation, booking terms or transaction documentation.
GIMA may operate different fee and commission arrangements with:
- property owners;
- developers;
- Partner Agencies;
- GIMA Agents;
- customers; and
other authorized participants.
No user is entitled to a commission merely because they introduced a property, lead, customer or transaction unless the applicable commission arrangement provides for it.
25. PAYMENTS
Where online payment facilities are provided, payments may be processed through third-party payment providers.
GIMA may not directly control the infrastructure, availability or security of third-party payment systems.
Users must provide accurate payment information and must not attempt unauthorized payment activity.
Unless otherwise provided by applicable law or the relevant transaction agreement, payment does not by itself establish ownership or completion of a property transaction.
26. REFUNDS AND CANCELLATIONS
Refunds, cancellations and reservations will be governed by the applicable service terms, booking terms, transaction agreement and applicable law.
Where applicable law gives a customer a cancellation or refund right, nothing in these Terms is intended to remove that statutory right.
Any specific cancellation or refund conditions applicable to a property, booking, inspection, reservation, short-let stay or service will be disclosed before the relevant transaction where required.
27. USER ACCOUNTS
Certain GIMA Connect services may require an account.
You are responsible for:
- maintaining accurate account information;
- protecting your login credentials;
- keeping your password confidential;
- notifying GIMA of unauthorized access; and
ensuring that activity conducted through your account is authorized.
You must not:
- share your account with unauthorized persons;
- impersonate another user;
- create accounts using false information;
- attempt to access another user's account; or
circumvent authentication or access controls.
GIMA may suspend or restrict an account where reasonably necessary for security, compliance, investigation or enforcement, subject to applicable law.
29. PHOTOS, VIDEOS AND PROPERTY CONTENT
Where you provide photographs, videos, descriptions, floor plans or other property-related content, you represent that you have the right to provide that content and authorize GIMA to use it for the agreed property marketing or service purpose.
You must not submit material that infringes:
- copyright;
- trademarks;
- privacy rights;
- confidentiality obligations;
- contractual rights; or
other legal rights.
30. INTELLECTUAL PROPERTY
Unless otherwise stated, the website, platform, branding, logos, designs, text, graphics, software, layouts, databases and other GIMA materials are owned by or licensed to GIMA Properties and are protected by applicable intellectual-property laws.
You may access and use the materials for legitimate personal or business use connected with the services.
You must not, without authorization:
- reproduce substantial portions of the platform;
- copy GIMA's branding;
- scrape the property database;
- reproduce listings for unauthorized commercial use;
- reverse engineer the platform;
- sell or redistribute platform content; or
create a competing service using substantial portions of GIMA's proprietary materials.
31. THIRD-PARTY CONTENT AND LINKS
The website may contain information, links, advertisements, integrations or services provided by third parties.
GIMA does not control every third-party website or service.
Your use of a third-party service may be subject to that provider's own terms and privacy policy.
A link or reference does not necessarily constitute GIMA's endorsement of that third party.
32. WEBSITE AND PLATFORM AVAILABILITY
We aim to keep our website and platform available and functional, but we do not guarantee uninterrupted availability.
The website may occasionally be unavailable because of:
- maintenance;
- upgrades;
- technical failures;
- security incidents;
- telecommunications problems;
- third-party service interruptions;
- circumstances beyond our reasonable control; or
other operational reasons.
We may modify, suspend or discontinue features where reasonably necessary.
34. NO INVESTMENT GUARANTEE
Nothing on the website or platform constitutes investment, financial, legal, tax, surveying, valuation or other professional advice unless expressly stated and provided by an appropriately qualified professional.
Past property performance does not guarantee future performance.
Statements concerning potential appreciation, rental income, demand, investment opportunity or projected returns are not guarantees of future results.
Users should obtain independent professional advice before making material investment decisions.
35. PROFESSIONAL ADVICE
GIMA may coordinate with or refer users to professionals such as:
- lawyers;
- surveyors;
- valuers;
- architects;
- engineers;
- financial professionals; or
other specialists.
Unless expressly stated, such professionals are independent third parties.
You should independently verify the scope and terms of any professional engagement.
36. PROHIBITED USE
You must not use the website or platform to:
- commit fraud;
- impersonate another person;
- submit false property information;
- misrepresent ownership;
- misrepresent authority to market a property;
- upload unlawful content;
- harass another user;
- collect personal information without authorization;
- interfere with the platform;

If you believe your account has been compromised, notify GIMA promptly.

Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms.
The Privacy Policy should be read before using services that require the submission of personal information.
39. COOKIES AND TECHNOLOGIES

Where required, additional information and choices regarding these technologies will be provided through our Cookie Policy or relevant privacy notices.
40. USER COMMUNICATIONS

- property requests;
- inspections;
- transactions;
- bookings;
- property management;
- short-let services;
- account activity;
- security;
- service updates; or
other services you have requested.
Marketing communications will be handled in accordance with applicable law and our privacy practices.
41. COMPLAINTS AND DISPUTE RESOLUTION
If you have a complaint concerning GIMA's services, please contact us first so that we have a reasonable opportunity to investigate and resolve the matter.
Complaints should include sufficient information to allow us to identify the relevant:
- user;
- property;
- transaction;
- booking;
- service; or
issue.
Nothing in this section prevents a consumer from exercising any statutory right or pursuing a lawful remedy available under Nigerian law.
42. LIMITATION OF LIABILITY
To the extent permitted by applicable law, GIMA will not be responsible for losses arising solely from:
- reliance on information that has changed without our knowledge;
- third-party content or services;
- interruptions outside our reasonable control;
- unauthorized conduct of third parties;
- decisions made independently by a user; or
transactions entered into directly between other parties.
However, nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited, including liability arising from fraud, applicable statutory consumer protections, death or personal injury caused by negligence where such limitation is prohibited, or other liability that applicable law requires to remain available.
43. INDEMNITY
To the extent permitted by law, you agree to be responsible for losses, claims, liabilities or reasonable costs arising from your unlawful use of the platform, fraud, deliberate misconduct, or material breach of these Terms.
Nothing in this clause requires you to indemnify GIMA for liability that cannot lawfully be transferred to you.
44. SUSPENSION AND TERMINATION
GIMA may restrict, suspend or terminate access where reasonably necessary because of:
- breach of these Terms;
- suspected fraud;
- security concerns;
- unauthorized access;
- unlawful activity;
- misuse of the platform;
- inaccurate or deceptive information; or
other legitimate operational or legal reasons.
Where appropriate, GIMA may provide notice and an opportunity to resolve the issue.
Termination does not automatically cancel rights or obligations that have already accrued under a separate agreement.
45. CHANGES TO THE WEBSITE
We may add, remove or modify website features, services, listings and platform functionality.
We may also update these Terms from time to time.
The updated version will be posted on the website with a revised "Last Updated" date.
Where applicable law requires additional notice or consent for material changes, we will provide it.
46. SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the extent necessary to make it lawful where possible, and the remaining provisions will continue to apply.
47. NO WAIVER
A failure by GIMA to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.
48. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Cookie Policy and any service-specific or transaction-specific agreements applicable to you, constitute the relevant agreement governing your use of the website and platform.
Where a separate written contract governs a specific property transaction, property-management engagement, short-let service, advisory engagement or other service, that contract will take precedence over these general Terms to the extent of any inconsistency.
49. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Where a matter is subject to applicable Lagos State regulation or law, the relevant Lagos State legal and regulatory framework will also apply.
Nothing in these Terms prevents a consumer from exercising rights available under applicable Nigerian law.
50. JURISDICTION
Subject to any mandatory statutory rights or dispute-resolution procedures, disputes arising from these Terms or use of the website shall be subject to the jurisdiction of the competent courts of Nigeria.
Where a matter falls within the jurisdiction of Lagos State courts, the appropriate Lagos State court shall have jurisdiction.
52. IMPORTANT NOTICE
Nothing contained on the GIMA Properties website or GIMA Connect platform should be interpreted as:
- a guarantee that a property will be sold or let;
- a guarantee of investment returns;
- a confirmation of legal ownership;
- legal advice;
- financial advice;
- a guarantee of title;
- a guarantee of development completion;
- a guarantee of property availability;
- a guarantee of financing;
- an automatic property mandate;
- an automatic agency relationship; or
a binding transaction,
unless expressly established by a separate legally binding agreement.
53. ACKNOWLEDGEMENT
By using GIMA Properties or GIMA Connect, you acknowledge that you have read these Terms, understand them, and agree to comply with them to the extent applicable to your use of our website, platform or services.
